Blackline GPS Summary of Minimum Advertised Price (MAP) Policy May 1, 2009

Blackline GPS is providing the following clarifications to our Minimum Advertised Price (MAP) policy, which establishes standards for all applicable advertisements of Escort / Blackline GPS and Blackline GPS branded products. Blackline GPS is introducing this policy in order to reinforce the high quality image and value of Escort / Blackline GPS and Blackline GPS branded products in the marketplace.

Any advertisement that pictures, references or otherwise describes a covered product is subject to this policy. This MAP policy applies to those Escort / Blackline GPS and Blackline GPS branded products listed on the “Minimum Advertised Price List” or “MAP Price List”, attached to this MAP policy. The MAP Price List will be revised from time to time and the MAP policy shall apply to the most recent version of any MAP Price List published by Blackline GPS. Each MAP Price List will state the date that it becomes effective and the covered products.

This MAP policy applies equally to the entire reseller organization who resells Escort / Blackline GPS and Blackline GPS products. Each reseller is responsible for compliance with this policy by all segments of its organization (online and retail). If any one segment within a reseller’s organization violates any component of this MAP policy, the consequence will apply to the entire organization.

The MAP policy applies to all forms of advertising, including, but not limited to, online and print. Each reseller is free to set and negotiate the actual resale price for any MAP product.

All accounts purchasing thru distribution must acknowledge and sign Blackline GPS MAP Policy. All distributors must forward a copy of the signed agreement to Blackline GPS.

Blackline GPS will enforce this policy. In the event a reseller fails to comply with the MAP policy, Blackline GPS specifically reserves the right to cancel all existing, accepted, unshipped orders and to refuse to accept new orders, both at Blackline GPS and its distributors.

If any reseller fails to comply with Blackline GPS’s MAP policy, Blackline GPS will suspend product sales to that reseller, remove references to the suspended reseller from Blackline GPS’s website, and notify authorized distributors of this suspension. A violation of the MAP policy will result in a temporary suspension of product distribution, following these general guidelines:

First policy violation: 90 days;
Second Policy violation: 90 days
Third Policy violation: 120 days or termination at the discretion of Blackline GPS Distribution Council.

The primary contact identified on the Authorized Reseller Application will receive an email from Blackline GPS communicating any MAP changes. It is the reseller’s responsibility to keep Blackline GPS informed of point of contact changes via email to ncampbell@blacklinegps.com. In addition, the Blackline GPS product pricelist will include the MAP price. The Blackline GPS Distribution Council reserves the right to terminate this agreement upon any policy violation at anytime at its discretion.

This is a unilateral policy. Blackline GPS will not communicate with any reseller regarding any other reseller’s advertising practices for MAP products, nor discuss its decisions regarding MAP issues.
